Terms of service
These terms govern your access to Mem U AI websites, accounts, software products, Store offerings, and support. By using a service that links to these terms, you agree to them.
1. The service relationship
Mem U AI is an independent digital product service based in Manitoba, Canada. Mem U AI provides and supports the product; Paddle acts as Merchant of Record and authorized reseller for purchases completed through Paddle.
A software product is a usable customer experience. A Store offering is a sales good that defines the entitlement, usage allowance, billing period, and price available through a purchase.
2. Eligibility and accounts
You must be legally capable of agreeing to these terms or have valid authorization from a parent, guardian, or organization. You are responsible for accurate account information, protecting access credentials, and promptly reporting suspected unauthorized use.
3. Software products, Store offerings, and entitlements
Software-product descriptions and Store offering pages explain included features and allowances. Features may evolve, but we will not knowingly present an unimplemented capability as currently available.
An entitlement is personal to the account unless an offering expressly permits sharing or transfer. Usage allowances and credits have the scope and validity shown before purchase.
4. Purchases through Paddle
Paddle processes payments, taxes, receipts, subscription billing, cancellations, and refunds under Paddle's Buyer Terms and Refund Policy. You authorize recurring charges through Paddle when you choose a recurring offering.
Mem U AI does not collect payment directly or issue a separate invoice for a Paddle transaction.
5. Acceptable use
You may use the service only lawfully and within documented product boundaries.
- Do not harm, threaten, exploit, deceive, harass, or infringe the rights of another person.
- Do not attack, disrupt, probe, bypass, or misuse service security or access controls.
- Do not upload content or issue instructions you have no right to use.
- Do not use the service to create or distribute unlawful or intentionally harmful material.
6. Customer content
You retain ownership of your original content. You grant Mem U AI a limited, non-exclusive license to host, process, reproduce, and transmit that content only as needed to provide, secure, and support the service you request.
If you intentionally publish content, you grant the additional limited permissions needed to display and distribute it on the selected public surface.
7. AI output and customer authority
AI output may be incomplete or inaccurate and must not replace qualified professional advice. You remain responsible for checking important information and for final decisions.
A product may assist or act only within the authorization available to it. Mem U AI does not transfer your decision-making authority to an AI system.
8. Mem U AI rights
Except for customer content and third-party or open-source materials, Mem U AI products, software, design, brand assets, documentation, and original service content are protected by applicable intellectual-property laws. These terms do not transfer ownership of them to you.
9. Service changes and availability
We may maintain, improve, replace, suspend, or discontinue a feature. We will provide reasonable notice when a material change affects a paid entitlement and notice is practical. Temporary interruption may occur for maintenance, security, provider failure, or events outside reasonable control.
10. Suspension and termination
We may restrict access when reasonably necessary for security, legal compliance, non-payment reported by Paddle, material breach, or harm to the service or others. Where appropriate, we will explain the reason and provide a route to contact support.
You may stop using a product and may cancel a subscription through the available Paddle customer controls. Cancellation and deletion are separate actions.
11. Disclaimers and liability
The service is provided with the level of care required by applicable law. To the maximum extent permitted by law, we do not guarantee uninterrupted operation, error-free AI output, or a particular personal or professional result.
Nothing in these terms excludes a warranty, remedy, or liability that applicable law does not allow us to exclude.
12. Governing law, changes, and contact
These terms are governed by the laws of Manitoba and the applicable federal laws of Canada, without limiting mandatory consumer rights that apply where you live.
